Effective Date: March 10th, 2025
This Membership Agreement (the “Agreement”) is entered into by and between KVBOND Business & Financial Services, LLC (“Black Art Magazine,” “BAM,” “we,” “us,” or “our”) and the individual or entity applying for membership in BAM! Industry Voices (“Member,” “Contributor,” or “you”). This Agreement governs your participation in the BAM! Industry Voices program and the rights and obligations of all parties.
1.1 Application Process To join BAM! Industry Voices, you must complete and submit an application with relevant writing samples, background details, and credentials. Black Art Magazine reserves the right to accept, reject, or remove contributors at its sole discretion.
1.2 Membership Qualification BAM! Industry Voices is a curated program for professionals, including writers, critics, curators, researchers, and industry experts. Membership is selective, and Black Art Magazine is not obligated to provide reasons for acceptance or rejection. Membership is non-transferable.
2.1 Publishing Access Members may submit original content for potential publication on BAM’s website, newsletters, and print editions. All content is subject to Black Art Magazine’s editorial approval and publishing schedule. Black Art Magazine is under no obligation to publish any submitted content.
2.2 Editorial Support Members receive editorial feedback to refine their work. Black Art Magazine reserves the right to edit or modify submitted content for clarity, accuracy, or brand alignment.
2.3 Promotion and Visibility Black Art Magazine may promote member articles through its platforms, including social media, newsletters, and partner networks. Members will receive a dedicated author profile page (if applicable), subject to BAM’s discretion.
2.4 Membership Badge Members may receive a digital BAM! Industry Voices badge to display on websites and social media, subject to BAM’s branding guidelines.
2.5 Exclusive Access to BAM+ Members will receive complimentary access to BAM+, an ad-free digital subscription with exclusive content and industry insights.
3.1 Content Ownership and Licensing Contributors retain ownership of their original work. By submitting content, you grant Black Art Magazine a non-exclusive, royalty-free, worldwide, irrevocable license to publish, distribute, modify, and promote your content in perpetuity across its platforms. Black Art Magazine may archive or syndicate content without additional compensation.
3.2 Exclusivity Submitted content must be original and not published elsewhere prior to appearing on Black Art Magazine unless otherwise approved. Members may republish content 30 days after publication on Black Art Magazine, with credit linking to the original article.
3.3 Editorial Rights Black Art Magazine reserves the right to edit, modify, or reject submissions for any reason. Contributors will not have final approval over editorial changes.
3.4 Content Restrictions Submissions must not contain plagiarism, defamatory material, hate speech, offensive language, or false claims. Self-promotional content is not permitted unless explicitly agreed upon. All sources must be properly cited.
4.1 Professionalism Members must maintain professional conduct in all interactions with Black Art Magazine’s editorial team and community. Harassment, discrimination, or misconduct will result in immediate termination of membership.
4.2 Confidential Information Members may have access to confidential Black Art Magazine information, including editorial schedules, internal communications, or unpublished content. You agree not to share, disclose, or distribute confidential information without BAM’s written consent.
4.3 Conflicts of Interest Contributors must disclose any financial, personal, or professional relationships that may influence submitted content. Black Art Magazine reserves the right to reject content with undisclosed conflicts of interest.
5.1 Voluntary Termination Members may withdraw from BAM! Industry Voices at any time with written notice.
5.2 Termination by Black Art Magazine Black Art Magazine reserves the right to suspend or terminate membership at any time, with or without cause. Grounds for termination include, but are not limited to: Violation of this Agreement. Submission of plagiarized or misleading content. Disruptive behavior, harassment, or failure to maintain professional conduct. Unauthorized disclosure of confidential information.
5.3 Effect of Termination Upon termination, Black Art Magazine may remove or retain published content at its sole discretion. Members must discontinue use of the BAM! Industry Voices badge and other branding elements.
6.1 No Employment Relationship This Agreement does not create an employment, partnership, or agency relationship between you and BAM. Contributors are independent contributors and are not entitled to compensation unless explicitly agreed upon.
6.2 Liability Waiver Black Art Magazine is not responsible for any damages, losses, or claims resulting from your participation in the program. Black Art Magazine reserves the right to remove, edit, or modify content without liability.
6.3 Indemnification You agree to indemnify and hold harmless Black Art Magazine, its parent company (KVBOND Business & Financial Services, LLC), employees, and affiliates from any claims, liabilities, or damages arising from your contributions or violations of this Agreement.
6.4 Governing Law and Dispute Resolution This Agreement shall be governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in Atlanta, Georgia.
7.1 Changes to the Agreement Black Art Magazine reserves the right to update or modify this Agreement at any time. Members will be notified of significant changes, and continued participation constitutes acceptance of the updated terms.
7.2 Severability If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By participating in BAM! Industry Voices, you acknowledge that you have read, understood, and agree to abide by the terms outlined in this Agreement.
